Merome legal information
Terms of Service
These Terms govern access to and use of Merome, a registered business name of SAKAE PTY LTD (ACN 692 541 772, ABN 14 692 541 772), an Australian private company. By creating an account or using Merome you agree to these Terms. Subscription clauses apply when paid service becomes available.
1. Eligibility
You must be at least 18 and have authority to act for any business/organisation on whose behalf you use Merome.
2. The Merome service
Merome provides authorised Instagram account/content audits, measured metric history, transcription, classification, analytics, comparisons and reports. Features may develop; we will not remove material paid functionality from an existing prepaid subscription without an appropriate remedy where required.
3. Supported territories
Paid subscriptions will be available only in supported territories shown during signup/checkout. Availability may change with legal, tax, technical and commercial requirements. Paid checkout is not currently enabled.
4. Your account
Provide accurate information, secure your account/devices, keep details current and take responsibility for authorised activity. Report compromise to support@merome.io.
5. Workspaces
Each Merome login currently has one canonical workspace containing its connected Instagram accounts, audits and analytics. Ownership/roles govern access; limits may apply. No workspace switcher or public team-management feature is promised by these Terms.
6. Connected Instagram accounts
Connect only accounts you lawfully control or are authorised to manage. Do not circumvent permissions/security or obtain unauthorised access. You authorise processing of information made available by your Meta permissions to provide Merome. You can disconnect; stored history remains until separately deleted. Meta may change APIs, metrics, permissions, limits or policies, affecting features outside Merome's direct control. Merome is independent of Meta/Instagram.
7. Customer data
You retain rights in information/content you lawfully provide or connect. You grant SAKAE PTY LTD a non-exclusive licence to host/copy/transmit/store/process/analyse it only as reasonably necessary to provide requested analytics/refresh, operate/secure/support the service, comply with law and create permitted aggregated/de-identified information as described here and in Privacy.
The licence ends on relevant data deletion except lawful retention or irreversibly anonymised/aggregated data that cannot reasonably identify the original customer/individual, subject to platform restrictions.
8. Aggregated benchmarks
We may create permitted aggregated/de-identified statistics for benchmarking, product development, statistical research and analytical improvement. We will not intentionally expose identifiable private customer analytics to other customers. Cross-customer publication is not currently enabled; applicable Meta restrictions continue to apply.
9. AI and analytical outputs
Outputs can be incomplete, inaccurate, subjective or affected by incomplete data. We do not guarantee future performance, audience growth, revenue, engagement, reach, platform distribution or business outcomes. You are responsible for decisions using these informational outputs.
10. Subscriptions
When paid subscriptions become available, price/currency/interval/features/renewal will be displayed before purchase. Unless explicitly stated otherwise, paid subscriptions renew until cancelled. The current preview has no paid checkout or charges.
11. Automatic renewal
Before payment we will clearly disclose amount due today, frequency, whether renewal is automatic, next renewal amount/basis and cancellation method. These Terms alone do not disclose a specific payment commitment.
12. Cancellation
When paid subscriptions are enabled, online billing controls will allow cancellation without telephone/postal requirements. Unless law requires otherwise, cancellation stops the next renewal and access continues until the paid period ends. Account deletion and subscription cancellation are separate actions whose billing consequences must be clearly handled.
13. Price changes
A material increase for an existing subscription ordinarily applies from a future renewal with reasonable notice where appropriate. You may cancel before the changed renewal.
14. Taxes
Taxes will be displayed/handled as required. SAKAE PTY LTD is currently not registered for Australian GST; Merome must not describe Australian prices as GST-inclusive or represent that Australian GST was charged while that remains the case. Foreign taxes are separate.
15. Refunds and consumer rights
Our Billing, Cancellation & Refund Policy describes applicable paid-service terms. Nothing here excludes/restricts/modifies non-excludable consumer guarantees, statutory refunds or other mandatory rights.
16. Australian Consumer Law
Where applicable, services have consumer guarantees that cannot be excluded. Merome will provide remedies required by Australian Consumer Law; these Terms do not remove those rights.
17. Acceptable use
Do not use Merome for unauthorised access, unlawful surveillance/fraud/impersonation, breaches of law/Meta rules/privacy/confidentiality/intellectual property, malware or security interference, circumvention of usage/subscription/API limits, systematic extraction of proprietary datasets without permission, or reverse engineering except where law expressly permits. Do not use it in a way reasonably likely to harm the service, customers or third parties.
18. Merome intellectual property
Our software, branding, interfaces, design, documentation, methods and technology belong to SAKAE PTY LTD or licensors. Authorised active access grants a limited non-exclusive non-transferable use right under these Terms, not ownership. Account-specific reports/outputs may be used for your lawful business/personal purposes.
19. Feedback
We may use voluntarily supplied suggestions without payment/obligation. We will not publicly identify the source without permission.
20. Confidentiality
Each party should protect received non-public confidential information with reasonable care. Exceptions cover information public without breach, already lawfully known, independently developed, lawfully obtained elsewhere or required to be disclosed by law.
21. Third-party services
Merome depends on Meta, Google Cloud, approved AI routes and, when activated, Stripe/other disclosed providers. Their own terms/privacy may apply. To the extent permitted by law, Merome is not responsible for independent provider actions/outages.
22. Service availability
We aim for reliability but promise no uninterrupted availability without a separate express SLA. Maintenance, defects, provider/network outages, Meta changes, security incidents and events outside reasonable control may affect availability.
23. Suspension
We may reasonably suspend for material security risk, suspected fraud, unlawful activity, material Terms breach, unpaid subscriptions where applicable or threats to service/users. Where practicable, provide notice/opportunity to resolve.
24. Termination
You may stop using Merome/cancel applicable subscription. We may terminate for material/repeated breach, unlawful use, significant security risk or other reasonably necessary circumstances. Permanent discontinuation of prepaid service unrelated to your breach receives appropriate unused-period refund/credit where required.
25. Data deletion
See Data Deletion for disconnect, imported-account deletion, workspace deletion and identity-account requests. App mutations remain on app.merome.io; public website instructions do not perform deletion.
26. Privacy
The Privacy Policy explains information handling. The DPA applies where we process personal data on an eligible business customer's behalf.
27. Disclaimers
Except non-excludable rights, the service is provided as available. Analytics/benchmarks/AI/recommendations are informational tools, not guarantees.
28. Liability
Nothing limits non-limitable liability/rights. To the maximum lawful extent, neither party is liable for indirect/consequential loss not reasonably foreseeable.
For paid-service claims only where contractual limitation is permitted, SAKAE PTY LTD's aggregate liability will not exceed amounts paid to Merome during the 12 months preceding the event. This does not limit liability where impermissible, including applicable fraud, wilful misconduct or mandatory consumer rights.
29. Business customer responsibility
Businesses must have lawful authority to connect accounts/provide data/instruct processing. To the lawful extent they are responsible for third-party claims directly caused by deliberate unlawful service use or intentional infringement, not loss caused by Merome's own breach/misconduct.
30. Changes to these Terms
Material reductions of existing paid-customer rights or increases in obligations receive reasonable advance notice unless law, security or urgent technical reasons require faster change.
31. Governing law
New South Wales, Australia law applies; NSW/applicable Commonwealth courts have non-exclusive jurisdiction. Non-excludable mandatory consumer/jurisdiction rights remain.
